Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of navalabshq.com and the Nava Labs data and analytics infrastructure platform (together, the "Service") operated by Nava Labs, Inc. ("the Company," "we," "us," or "our") at 301 Brannan Street, Suite 220, San Francisco, CA 94107. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are accessing the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.

2. Use of the Service

• You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Service.
• You agree not to use the Service for unlawful purposes, to interfere with its operation, or to attempt unauthorized access to our systems, to other accounts, or to data sources connected by other users.
• You may not scrape, reverse-engineer, or copy the Service except as expressly permitted by applicable law or in writing by us.
• You are responsible for keeping your account credentials secure. You must notify us promptly at [email protected] if you suspect unauthorized use of your account.
• Your use of the Service is subject to the usage limits of your subscription plan (Developer, Team, or Scale). Sustained use materially in excess of those limits without upgrading may result in throttling or account suspension.

3. Intellectual Property

The Service, including all software, source code, query engine, connector library, documentation, text, graphics, and logos, is owned by Nava Labs, Inc. or its licensors and is protected by United States and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your active subscription period. No other rights are granted.

Your data and the SQL queries you write remain yours. You grant the Company a limited license to use, store, process, and transmit your queries and connector configurations solely as necessary to deliver the Service to you.

4. Your Content and Data

You are responsible for any content you submit to the Service, including connector credentials, SQL query text, integration configuration, and communications through contact forms or email. You represent that you have all necessary rights to submit such content and that doing so does not violate any third-party rights or applicable law.

The Company does not claim ownership of your query text or connector configurations. We process that content only to provide the Service features you use. See our Privacy Policy for details on how we handle, retain, and protect that information.

5. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVA LABS, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONNECTOR INTEGRATIONS WITH THIRD-PARTY DATA SOURCES WILL FUNCTION WITHOUT DISRUPTION CAUSED BY CHANGES TO THOSE THIRD-PARTY APIS OR SCHEMAS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVA LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability will be limited to the maximum extent permitted by applicable law.

7. Indemnification

You agree to defend, indemnify, and hold harmless Nava Labs, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any right associated with the data sources you connect through the platform.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms or sustained non-payment. You may cancel your account at any time through your account settings or by contacting [email protected]. Upon termination, your source connections and stored query history are deleted consistent with our Privacy Policy retention schedule. Sections that by their nature should survive termination will survive, including Sections 3, 5, 6, 7, 9, and 10.

9. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Informal Resolution. Before filing a claim, you agree to contact us at [email protected] and attempt informal resolution for at least 60 days.

Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in California, USA under the rules of the American Arbitration Association ("AAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and Nava Labs, Inc. each waive the right to a jury trial and the right to participate in a class action.

Exception. Either party may seek injunctive relief in a court of competent jurisdiction located in California, USA for intellectual-property infringement or unauthorized access to the Service.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of those Terms.
